2. Service Agreement
2.1 Engagement
Services commence upon mutual agreement, typically formalized through a service agreement, email
confirmation, or signed proposal. The scope of work, deliverables, timeline, and pricing will be clearly
outlined.
2.2 Service Term
Services may be provided on a monthly, annual, or project basis as agreed. Either party may terminate
services with written notice as specified in the service agreement.
3. Client Responsibilities
Clients engaging our services agree to:
- Provide accurate and complete information about their business, services, and target audience
- Grant necessary access to platforms (Google Business Profile, Google Ads, Meta Business Manager,
website, etc.)
- Respond to requests for feedback, approval, or information in a timely manner
- Ensure all information provided complies with applicable healthcare regulations
- Review and approve all marketing materials before publication
- Make timely payments as per agreed terms
4. Payment Terms
4.1 Fees
Service fees are outlined in the service agreement or proposal. Fees may include:
- Management Fees: For ongoing campaign management and optimization
- Setup Fees: For initial account setup and campaign creation (if applicable)
- Ad Spend: Separate from management fees; paid directly to advertising platforms
(Google, Meta)
4.2 Payment Schedule
Payment terms will be specified in the service agreement. Typical arrangements include:
- Monthly payments for ongoing services
- Annual payments (with applicable discounts) for yearly packages
- 50% advance for project-based work
4.3 Late Payments
Invoices are due within the specified timeframe (typically 7-15 days). Late payments may result in
service suspension until payment is received.
5. Performance and Results
5.1 No Guarantees
While we use industry best practices and data-driven strategies, we cannot guarantee specific results
such as:
- A specific number of patient enquiries or appointments
- Specific ranking positions in search results
- Specific conversion rates or ROI
Digital marketing results depend on many factors including market conditions, competition, seasonality,
service quality, and patient behavior—many of which are outside our control.
5.2 Best Efforts
We commit to providing professional services using our expertise and experience to achieve the best
possible outcomes for your practice within industry standards and platform guidelines.
6. Advertising Platform Compliance
All advertising campaigns are subject to the policies and guidelines of the respective platforms (Google
Ads, Meta Ads). We will:
- Follow all advertising policies and guidelines
- Ensure compliance with healthcare advertising regulations
- Avoid making unsubstantiated medical claims
- Not guarantee ad approval by platforms
Ad disapprovals or account suspensions by platforms are beyond our control. We will work to resolve such
issues but cannot guarantee reinstatement.
7. Intellectual Property
7.1 Client Ownership
Upon full payment, clients retain ownership of:
- Content created specifically for their practice
- Custom graphics and designs delivered as part of services
- Access to advertising accounts (Google Ads, Meta Business Manager)
7.2 Our Intellectual Property
We retain ownership of:
- Our marketing methodologies and strategies
- Internal tools and templates
- Our brand and marketing materials
8. Confidentiality
Both parties agree to:
- Keep confidential information private and secure
- Use confidential information only for the purposes of providing/receiving services
- Not disclose confidential information to third parties without consent
- Return or destroy confidential information upon service termination (as applicable)
9. Limitation of Liability
To the maximum extent permitted by law, Aura Digital Services shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Platform policy changes or account suspensions
- Technical issues with third-party platforms
Our total liability for any claim shall not exceed the total amount paid for services in the 3 months
preceding the claim.
10. Termination
10.1 Termination by Client
Clients may terminate services with written notice. Depending on the service agreement:
- Monthly services: Typically 30 days notice
- Annual services: May not be eligible for refund of unused portion
- Project-based: Upon project completion or mutual agreement
10.2 Termination by Us
We may terminate services if:
- Payment is not received within specified timeframes
- Client breaches these Terms
- Client requests activities that violate advertising policies or regulations
- We are unable to achieve reasonable outcomes due to factors within client's control
11. Healthcare Disclaimer
We provide marketing services only. We do not:
- Provide medical advice or healthcare services
- Make medical claims or promises about treatment outcomes
- Guarantee patient acquisition or appointment bookings
- Take responsibility for the medical services provided by our clients
Clients are responsible for ensuring their own compliance with all applicable healthcare regulations,
licensing requirements, and professional standards.
12. WhatsApp Communication Agreement
By providing your contact information, you expressly consent to receive communications from Aura Digital
Services via WhatsApp. This includes:
- Updates regarding active digital marketing campaigns.
- Administrative notifications and billing updates.
- Educational updates regarding healthcare marketing trends.
- Direct support and consultation scheduling.
Aura Digital Services respects your privacy and will not spam. Standard data rates may apply as per your
service provider.
13. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes
arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the
courts located in Bangalore, Karnataka, India.
14. Changes to Terms
We may update these Terms from time to time to maintain compliance with advertising platform policies
and local regulations. Updated Terms will be posted on our website with a new "Last Updated" date.
